These Terms of Service (the “Terms”) govern your access to and use of the Structor service (the “Service”) provided by GillyTech LLC (“Structor”, “we”, or “us”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing the Service you confirm that you have read, understood, and agree to be bound by these Terms.
2. Description of Service
Structor is a software-as-a-service product that connects to your WordPress site(s) to scan, analyze, and improve content. Features and limits depend on the plan you subscribe to.
3. Account Registration & Eligibility
You must be at least 16 years old to use the Service. You are responsible for safeguarding your credentials and for all activity that occurs under your account.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for the WordPress sites you connect to the Service and for the content the Service processes on your behalf. You will not use the Service, directly or indirectly, for any of the following purposes or in connection with any of the following categories of content (collectively, the “Prohibited Uses”):
- Online gambling, sports betting, lotteries, or games of chance for real money or anything of monetary value, including affiliate or referral content promoting the same.
- Pornography or sexually explicit material, adult dating services, escort services, or any sexually explicit content involving real or simulated persons.
- Pharmaceuticals, prescription drugs, controlled substances, recreational drugs, cannabis or cannabis-derived products, kratom, nootropics marketed for therapeutic claims, anabolic steroids, or related paraphernalia, including the sale, marketing, distribution, or promotion of any of the foregoing.
- Any activity, content, product, or service that is illegal under United States federal law or under the laws of the State of Florida, regardless of whether the activity is lawful in the jurisdiction where you or your end users reside. This includes, without limitation, activity prohibited by US sanctions or export-control laws, fraud, money laundering, human trafficking, child sexual abuse material (CSAM), the unlicensed sale of firearms or ammunition, and infringement of intellectual-property or publicity rights.
- Hate speech, harassment, or content that incites violence against individuals or protected groups; content that promotes terrorism or violent extremism.
- Malicious activity such as distributing malware, phishing, spam, credential stuffing, or unauthorized scraping or access of third-party systems.
- Abuse of the Service itself, including reverse-engineering, decompiling, probing, or attempting to circumvent rate limits, access controls, or security measures; reselling or sublicensing access to the Service without our written agreement; or interfering with any other customer’s use of the Service.
- Misuse of AI features, including using outputs to generate disinformation, impersonate real people without consent, or evade content-moderation requirements imposed by law or by our AI subprocessors.
We may, at our sole discretion and without prior notice, suspend or terminate any account we reasonably believe is engaged in a Prohibited Use. We may also report suspected illegal activity to law-enforcement authorities. The Prohibited Uses list above is illustrative, not exhaustive — if you are unsure whether a use case is permitted, contact legal@gostructor.com before signing up.
5. Subscription Plans, Billing, Refunds
Plans and prices are described on our pricing page. Subscriptions renew automatically until canceled. Refunds are issued at our discretion in accordance with applicable law.
6. WordPress Integration & Data Access
The Service only accesses the WordPress data you authorize via REST credentials. We never request your WordPress admin password.
7. AI Outputs
AI-generated suggestions are provided “as is” and without warranty. You are responsible for reviewing and approving any change before it is applied to your WordPress site.
8. Customer Data
You own your Customer Data. We process it only as described in our Privacy Policy and DPA.
9. Confidentiality
Each party agrees to protect the other party’s confidential information with the same degree of care it uses for its own.
10. Intellectual Property
We own the Service. You own your content. Neither party gains rights to the other’s intellectual property except as expressly granted herein.
11. Termination
You may cancel at any time. We may suspend or terminate your account for material breach of these Terms.
12. Disclaimers and Limitation of Liability
The Service is provided “as is.” To the maximum extent permitted by law, our aggregate liability is limited to the fees paid by you in the twelve months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless GillyTech LLC from claims arising out of your misuse of the Service or violation of these Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Florida and the federal laws of the United States applicable therein, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Pinellas County, Florida for the resolution of any dispute arising out of or relating to these Terms or the Service. The parties waive any objection based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in the Service.
